1. Amendments to several regulations on enterprise registration

 On August 23, 2018, the Government issued Decree No. 108/2018/ND-CP, amending and supplementing a number of articles of Decree No.78/2015/ND-CP on enterprise registration.

Accordingly, a series of regulations on enterprise registration is amended or supplemented, such as:

(a) Amendment to the provisions on Authorization for carrying out enterprise registration procedures:

             (i) Expression indicating the subject of authorisation is changed from the “founder of the enterprise or enterprise” into “the person having the authority to sign a written request for enterprise registration”;

            (ii) Written authorization for individuals carrying out procedures for enterprise registration does not need to be notarized or authenticated.

 (b) Amendment to the regulations on enterprise registration dossiers for one-member limited liability companies: Removal of the requirement for copies of the Charter or other equivalents of the company owner in the case where the company owner is an organization.

 (c) Amendments and supplements to the provisions on registration of changes in charter capital, changes in proportion of capital contribution.

 (d) Amendment to the regulations on the State management of enterprise registration.

  (e) Supplement to the contents of the guidelines for enterprise registration in case of conversion from a household business. Enterprises may set up business locations outside the registered addresses of their head offices where they have no branch. Previously, they could only establish them in the provinces or centrally-run cities where their headquarters or branches are located.

Besides:

  • Enterprise is not required to affix its stamp in a request for enterprise registration, change in the contents of enterprise registration, Legal News August 2018 Vision &Associates resolutions, decisions, and meeting minutes in the enterprise registration dossier.
  • Request for publication of contents of enterprise registration shall be made at the time when the enterprise submits the enterprise registration dossier.
  • Enterprise can register a conversion of enterprise type simultaneously along with a change in the contents of enterprise registration, a notification of change in other contents of enterprise registration, except for registration of a change in its legal representative.

This Decree shall take effect on 10 October 2018.

2. Principle of Production of Organic Agriculture

Decree No. 109/2018/ND-CP dated 29 August 2018 on organic agriculture, comprises 5 principles as follows:

  • Management of natural resources (including land, water and air) in a systematic and ecological principle in a long-term perspective.
  • Non-use of materials that are synthetic chemicals in all stages of the production chain, to avoid human and environmental exposure to hazardous chemicals, to minimize pollution at production sites and in the surrounding environment.
  • Non-use of gene modified, radioactive and other technologies that can be harmful to organic production.
  • Responsible treatment to animals and plants and improvement of their natural health.
  • Certification of organic products by a third party in accordance with the national standards (TCVN) on organic agriculture or international standards, regional standards, and foreign standards to be applicable in production of organic products.

This Decree shall take effect on 15 October 2018.

3. Foreign exchange control of border trade activities between Vietnam and China

On 28 August 2018, the State Bank issued Circular No. 19/2018/TT-NHNN, providing guidelines for the foreign exchange control of border trade activities between Vietnam and China (“Circular 19”). This Circular provides guidelines for Decree No. 14/2015/ND-CP dated 23 January 2015, detailing the border trade activities (“Decree 14”) and replaces Decision No.689/2004/QD-NHNN dated 7 June 2004 of the Prime Minister, promulgating the Regulation on payment for purchase and sale of goods and services in border areas and Vietnam – China border economic zones (“Decision 689”). This Circular shall take effect on 12 October 2018.

Circular 19 has added the new scope and subjects of application to fully comply with the provisions of Decree 14, while ensuring a strict control of payment activities in the national currency made by the following entities engaging in border trade:

  • Vietnamese traders and Chinese traders having border trade activities between Vietnam and China;
  • Vietnamese border residents and Chinese border residents doing border trade activities between Vietnam and China;
  • Commercial banks and foreign banks’ branches allowed to conduct foreign exchange transactions in Vietnam;
  • Branches of banks allowed to be located in border areas and Vietnam – China border gate economic zones;
  • Organizations trading in duty-free goods or providing services in isolated areas at international border gates, organizations in business of bonded warehouses in the border regions and Vietnam – China border gate economic zones;
  • Other organizations and individuals involved in payment activities in border trade between Vietnam and China. According to Decree 14, border trade activities include those of trading or cross-border trading by traders; Trading and exchanging goods of border residents and in border markets. Circular 19 specifies the currency used in payments for border trade activities, whereby: For cross-border goods trading and exchanging, traders may use freely convertible foreign currencies and national currencies (CNY and VND) for payment; For goods and services trading and exchanging by border residents and in border markets, the currency used in the payment shall be the national currencies (CNY and VND).

 Regarding payment method, payment via bank is the main payment method to be applied to border trade activities. In addition, Circular 19 provides for the payment method in cash (CNY or VND) for export of goods through auxiliary border gates or border crossings by Vietnamese traders and payment in cash (VND) for goods and service trading and exchanging by border residents and in border markets.

According to the payment agreement between Vietnam and China and Decision 689, the payment in CNY is only made through the banks in the border areas and Vietnam – China border economic zones. In practice, there have been cases in which commercial banks and foreign banks’ branches authorized to conduct foreign exchange transactions in Vietnam have no bank branches in border areas, but desire to provide payment services in CNY to some domestic enterprises doing border trade activities; or in which an authorized domestic bank have a branch in border area could not provide payment services in CNY to its customers. As a result, Circular 19 has added a regulation on entrusted payment operations in CNY among authorized banks and CNY payment activities in the banking system which has been authorized to have a border branch.

Apart from the above-said contents, this Circular also provides for a number of other foreign exchange activities such as export and import of cash in CNY or VND; and specifies the responsibilities of the State Bank’s branches in border provinces and authorized banks as well as other individuals, traders and organizations in order to closely and effectively supervise and manage their foreign exchange control activities in Vietnam – China border trade.

4. Import tax exemption not applicable to goods without price indication

This is a prominent provision in Decision No. 2503/QD-TCHQ dated 23 August 2018 of the General Director of Customs on the Process of import tax exemption in accordance with international treaties and agreement between Vietnam and non-governmental organizations. Specifically:

Goods entrusted or supplied by the contract award or contractor appointment documents, which do not expressly state that the supply price is exclusive of import tax, shall not be eligible for tax exemption.

For goods which do not fall into the above cases:

 (a) In case of tax exemption by an inventory tracking sheet: Customs officers shall check the number and date of the list of duty-free goods on the customs declaration form, update the quantity, and deduct those which have been duty-free imported from the inventory tracking sheet, and certify by signing as required.

(b) In case of tax electronic exemption:

 (i) Customs officer proposes his/her manager to process the tax exemption in the box “Update results and opinions of the public official in charge” on the system.

(ii) Once approval is given in the “Manager’s opinion” box, the customs declaration form shall be accepted and follow the next steps of the process of customs clearance.

This Decision shall take effect on 7 September 2018.

5. Provisional regulations on the format of data exchange between customers offices and enterprises

On 22 August 2018, the General Department of Customs has issued Decision No. 2501/QD-TCHQ, on the temporary issuance of the format of data messages exchanged between customs authorities and enterprises (“Decision 2501”), which has come into force from the date of signing.

Specifically, the subjects of application comprise the customs authorities and:

  • Enterprises in business of bonded warehouses, tax warehouses;
  • Enterprises in business of goods in bonded or tax warehouses.

Details of the XML format are specified in the Appendix to Decision 2501.

6. Criteria for selecting third-party providers of cloud computing services

 This is a notable content in Circular No. 18/2018/TT-NHNN dated 21 August 2018 of the Governor of the State Bank of Vietnam, providing for the safety of the information systems in banking operations.

Accordingly, cloud computing services are the services that provide computing resources through the network environment that allows multiple users to use, can be amended and paid according to demands of use.

Criteria for selection of a third-party provider of cloud computing service must comprise at least the following contents:

(a) The third party is an enterprise.

(b) Having the information technology infrastructure corresponding to the service that the organization uses and meet the following requirements:

(i) the provisions of the laws of Vietnam;

(ii) There is a valid international certificate on information security.

This Circular shall come into effect on 2 January 2019; however, Point b, Clause 2, Article 12 shall come into force on 1 January 2020.

7. Removal of the regulations on subjects notifying e-commerce websites

On 20 August 2018, the Ministry of Industry and Trade issued Circular No.21/2018/TT-BCT, amending Circular No. 47/2014/TT-BCT dated 5 December 2014 on management of e-commerce websites (“Circular 47″) and Circular No. 59/2015/TT-BCT dated 31 December 2015 on e-commerce management via applications on mobile devices (“Circular 59”).

Whereby:

(a) To cancel the provisions on subjects publishing e-commerce websites in Article 8 of Circular 47;

(b) To cancel the provisions on subjects to register trust assessment activities for e-commerce websites in Article 21 of Circular 47;

(c) Article 13 of Circular 47 is amended as follows: “The registration applicant is a trader or organization that has an e-commerce website that provides at least one of the following services: 1. E-commerce trading floor services.

  1. Online promotion service.
  2. Online bidding services.”

Thus, new regulations expand the subjects that have to register e-commerce websites; specifically, organizational subjects are no longer limited to those operating in the field of trade promotion or enterprise support.

This Circular shall take effect on 18 October 2018.

8. New set of administrative procedures in the field of information and communications

 On 16 August 2018, the Ministry of Information and Communications issued Decision No. 1361/QD-BTTTT, publishing a set of administrative procedures within the scope of this Ministry’s management functions (“Decision 1361”).

This Decision is issued on the basis of Decree No. 63/2010/ND-CP, Decree No. 48/2013/ND-CP and Decree No. 17/2017/ND-CP, publishing administrative procedures under the jurisdiction at each level as follows:

  • 195 central-level administrative procedures in 7 sectors, including posts, telecommunications and Internet, radio frequency, radio & television broadcasting and electronic information, information technology – electronics; the press, publication – print and distribution.
  • 41 provincial-level administrative procedures in 4 sectors, including posts, radio & television broadcasting and electronic information; press, publication – print and distribution.
  • 2 district-level administrative procedures in the fields of the press, publication – print and distribution.

The Director of the Office and the heads of the agencies and units under the Ministry of Information and Communications shall have to implement this Decision.

Decision 1361 shall come into force on 16 August 2018.

9. New regulations on rice export business

On 15 August 2018, the Government issued Decree No. 107/2018/ND-CP, on rice export business (“Decree 107”), which shall take effect on 1 October 2018.

Accordingly, the Ministry of Industry and Trade shall consult with the concerned agencies and organizations and appoint the key traders to negotiate centralised rice export contracts (referred to as “centralised contracts”) according to the following criteria:

(a) The rice export achievements of traders for the last two years in the target market for centralised contracts;

(b) The rice export achievements of traders in the last two years;

(c) Transactions with a foreign partner designated or intended to be designated as a main importer of rice.

Traders who have been appointed as a main trader before the effective date of this Decree shall continue such appointment until the end of the signed contracts.

A trader engaged in rice export must regularly maintain a minimum reserve level equivalent to 5% of the volume of rice the trader has exported for the previous six months (5% decrease compared to previously); this therefore ensures timely supply to meet demands for rice at a particular time, avoids affecting the socio-economic life; and facilitates favourable conditions for enterprises in business.

At the same time, Decree 107 stipulates that traders can export rice when they satisfy the following conditions:

(a) Having at least one specialized warehouse for paddy and rice in accordance with the national standards and national technical regulations;

(b) Having at least one milling or grinding facility or paddy and rice processing facility in accordance with the standards and national technical regulations. Warehouses; paddy and rice milling, grinding and processing facilities may be owned by the trader or rented by the trader from another organization or individual with a written lease contract having a minimum term of 5 years.

This Decree cancels Decree No. 109/2010/ND-CP dated 4 November 2010.

10. Simplified procedures for granting certificates of satisfaction of business conditions for fire prevention and fighting

This is a remarkable content in Decision No. 4513/QD-BCA-V03 dated 15 August 2018 on simplification and reduction of business conditions under the responsibility of the Ministry of Public Security.

 Accordingly, the dossiers for the procedures for certifying satisfaction of business conditions for fire prevention and fighting are simplified as follows:

(a) Cancellation of the component of a copy of the business registration certificate or operation registration certificate of an enterprise or establishment with regard to the procedures for granting certificates of business registration of fire prevention and fighting services.

(b) Cancellation of the component of a certified copy or copy accompanied by the original for counter-check of the business registration certificate or operation registration certificate of the enterprise or establishment after the change in the cases: Enterprises or business establishments change their names, heads, legal representatives, or change their locations or business lines of fire prevention and fighting when carrying out the procedures for renewal.

(c) Removal of the information on “I.D. card / Passport No.: …. issued by … … dated … / … / …; Registered place of permanent residence” and addition of the personal identification number and current residence (if different from the place of permanent residence) in Form PC21 of Circular No. 66/2014/TT-BCA dated 16 December 2014 of the Ministry of Public Security, detailing the implementation of a number of articles of Decree No. 79/2014/ND-CP dated 31 July 2014, detailing the implementation of a number of articles of the Law on Fire Prevention and Fighting and the Law amending a number of articles of the Law on Fire Prevention and Fighting (“Circular 66”).

(d) Amendment to add a list of sectors in which the enterprise has business demand as provided for in Form PC22 of Circular 66.

This Decision shall take effect on 15 August 2018.

11. Amendment of the regulations on granting licenses for establishment of joint-stock commercial banks 

On 14 August 2018, the State Bank issued Circular No. 17/2018/TT-NHNN, amending and supplementing the Circulars on issuance of licenses, operation networks and foreign exchange activities of credit institutions (CIs) and foreign banks’ branches.

Accordingly, the conditions for founding shareholders when granting licenses for establishment and operations of joint stock commercial banks are amended as follows:

(a) Founding shareholders must jointly own at least 50% of the charter capital when establishing a joint stock commercial bank, in which legal entities must be joint owners of at least 50% of the total shares of founding shareholders.

(This new regulation means that the founding shareholders must always maintain the above rate, not only for 5 years from the issuance date of license as under the current regulations).

(b) The following provisions on founding shareholders have been cancelled:

             (i) To have financial capacity to contribute capital in order to establish a joint stock commercial bank;

             (ii) To be fully responsible for the legality of the contributed capital source;

             (iii) To commit to financially support the joint stock commercial bank in order to solve difficulties in cases where the bank has difficulties in capital or liquidity;

              (iv) At least 2 founding shareholders are organizations.

This Circular shall take effect on 1 October 2018.

12. Region-based minimum wage of 2019: increasing from VND160,000 to VND200,000

On 13 August 2018, the National Wage Council has finalized the region-based minimum wage of 2019 with the following rates:

(a) Region I: VND 4,180,000 (an increase of VND 200,000 compared to the current regulations). (b) Region II: VND 3,710,000 (an increase of VND 180,000 compared to the current regulations).

(c) Region III: VND 3,250,000 (an increase of VND 160,000 compared to the current regulations).

(d) Region IV: VND2,920,000 (an increase of VND160,000 compared to the current regulations).

Thus, for the average of 4 regions, the region-based minimum wage of 2019 proposed by the National Council of Wages shall be increased about 5.3% compared to 2018.

The 2019 region-based minimum wage increase plan shall be submitted to the Government for issuance of a new Decree on Region-based Minimum Wage of 2019.

The new Decree shall be applied on 1 January 2019 and shall replace Decree No. 141/2017/ND-CP dated 7 December 2017, providing the region-based minimum wage level for labourers working under labour contracts.

13. Additional information exchanged between the system of customs authorities and enterprises

On 9 August 2018, the General Department of Customs issued Decision No.2270/QD-TCHQ, on the format of data messages exchanged between customs authorities and enterprises processing or manufacturing products for export, and export processing enterprises.

Accordingly, the following exchange information is added:

(a) Enterprise declares during the preparation phase of production:

             (i) Processing contract; (ii) List of raw materials and auxiliary materials for export production, and list of products for export;

            (iii) List of goods put into and out of export processing enterprises, quota of products for export processing enterprises.

 (b) Enterprise declares in the production phase: Information on goods’ entry and exit.

 (c) Enterprise declares in the period of reporting for finalization: Report on machinery and equipment, information about destruction.

 (d) Enterprise declares prior to the exchange of information firstly connected to the system of customs authorities: report of final stock.

This Decision shall come into force on the date of signing.
